A volunteer board of three to ten directors runs the foundation. Directors are not paid. They are reimbursed only for expenses approved in advance.
Directors serve three-year terms, up to three terms in a row.
The officers are a president, one or more vice presidents and a treasurer. All of them are board members.
The treasurer keeps the accounts, reports to the board at each regular meeting and files the foundation's Form 990 with the IRS every year.
Two-thirds of the board must approve any spending over $1,000, any borrowing, any investment and any major project.
A standing committee identifies school needs that the Duval County Public Schools budget does not cover. Its members include the principal of Stanton, foundation officers and school staff. The board must approve every project it proposes by a two-thirds vote.
The fiscal year runs from January 1 to December 31.
